PROVISIONS ON MEMBERSHIP IN PUBLIC ASSOCIATION
"VINNITSA CLUSTER OF INSTRUMENT MANUFACTURING AND AUTOMATION"

Regulations on membership in the Public Union "Vinnytsia Cluster of Instrument-Making and Automation" (hereinafter the Union) were developed pursuant to Section 4 of the Statute of the Union. It determines the procedure for acquiring and terminating membership in the Union, the rights and obligations of members, the procedure for their registration, the principles of their professional conduct, the amount and procedure for payment of membership fees.  

The terms are used in this Regulation in the following meaning:

Union (cluster organization) - Public Union "Vinnytsia Cluster of Instrument Making and Automation",

Charter - Charter of the Public Union "Vinnytsia Cluster of Instrument Making and Automation",

The General Meeting is the highest governing body of the Public Union "Vinnytsia Cluster of Instrument-Making and Automation",

The Board is a permanent governing body of the Union in the period between the General Meetings,

Candidate for membership in the Union - a legal or natural person who has completed the application form and submitted an application for membership in the Union,

The Supervisory Board is an advisory body of the Union,

Directorate - the executive body of the Union,

Cluster projects - new joint scientific, technical and production projects carried out by cluster members, which can be carried out at the regional, national and international levels,

Regulations - Regulations on membership in the Public Union "Vinnytsia Cluster of Instrument Making and Automation".

 

Article 1. Acquisition of membership in the Union
  1.  The union is free to join new members. Members (participants) of the Union may be legal entities of private law, including public associations with the status of a legal entity, as well as individuals who:

  • share the purpose and objectives of the Union,

  • recognize the provisions of the Statute of the Union and undertake to comply with them;

  • have a good business reputation;

  • not related to oligarchic structures;

  • ready to actively implement innovations in their business.

1.2. At the request of the Directorate, the Board decides to accept a candidate to join the Union after receiving a completed application form, a written statement (in which the person confirms the obligation to comply with the Statute and this Regulation, agrees to process personal data in accordance with applicable law), and recommendations full members of the Union (recommendation is optional).

1.3. The right to decide on the admission of a candidate to the Union may be exercised by the General Meeting on the basis of Art. 5.4 of the Statute of the Union.

1.4. The General Meeting has the right to refuse to admit a person to the Union if a candidate for membership in the Union does not meet the criteria set out in paragraph 1.1 of this Regulation.

1.5. Membership in the Union is confirmed by an entry in the register of members (participants) of the Union maintained by the Board or on behalf of the Board of the Union, and the issuance of an official certificate, form and content approved by the General Meeting (Annex 1 to the Regulations).

1.6. Legal entities and individuals may acquire the status of honorary and associate participants by the decision of the General Meeting or another authorized governing body on behalf of the General Meeting.

 

Article 2. Rights of members of the Union

2.1. Members of the Union have the right to:

  • to take part in the statutory activities and activities of the Union, in the discussion and decision-making on all issues of activity;

  • to take part in the General Meeting, to elect and be elected to the governing bodies of the Union, to make proposals on candidates for election;

  • make proposals, applications and complaints to the governing bodies of the Union, receive information on the results of their consideration;

  • receive information and explanations regarding the activities of the Union, have access to its decisions, financial and other reports;

  • use the services of the Union, receive methodological, informational, legal and other assistance related to the statutory activities of the Union, in accordance with internal rules;

  • voluntarily terminate membership in the Union;

  • to exercise other rights established by the Statute, decisions of the General Meeting, other bodies of the Union or legislation.

2.2. All members of the Union, except honorary and associate members, have equal rights.

2.3. Honorary and associate members do not have the full rights of members of the Union, their rights are limited to regular information and explanations about the activities of the Union (subject to protection of confidential information and personal data), as well as advice on matters related to statutory activities. Honorary and associate members have the right of advisory vote in the bodies of the Union.

 

Article 3. Duties of members of the Union

3.1. Members of the Union are obliged to:

  • comply with the requirements of the Statute, decisions of the governing bodies of the Union related to the implementation of its purpose and statutory objectives;

  • to promote the activities and fulfillment of the statutory tasks of the Union;

  • to promote the ideas, purpose, statutory tasks and principles of the Union;

  • comply with the requirements for the procedure and conditions of use of personal data and other information that is confidential or protected by law;

  • to inform the governing bodies of potential conflicts of interest, violations of the Statute or damage to the Union;

  • not to take actions that may cause property or non-property damage to the Union;

  • comply with the requirements of statutory and regulatory documents of the Union;

  • to pay contributions in the manner and amounts specified in this Regulation, to comply with the law and financial discipline in carrying out the statutory tasks of the Union.

3.2. Honorary and associate members of the Union have the same responsibilities as members of the Union, except for the obligation to pay membership fees.

 

Article 4. Membership fees

4.1. Members of the Union pay entrance, annual membership fees and other fees.

4.2. Cash proceeds from the contributions of the members of the Union are used by the cluster organization to implement its statutory goals and objectives, implementation of projects and programs, development of material and technical base and maintenance of executive bodies.

4.3. Entrance fees.

4.3.1. Admission fees are paid by participants within 30 (thirty) calendar days from the date of their entry in the register of members (participants) of the Union and their receipt of notice of admission to the Union.

4.3.2. The amount of the entrance fee is 100 (one hundred) US dollars in hryvnia equivalent at the current exchange rate.

4.4. Annual contributions.

4.4.1. Annual membership fees are paid by members of the Union:

  • monthly until the 15th day of the current month in the amount of 1/12 (one twelfth) of the amount of the annual contribution;

  • or quarterly until the 15th of January, April, July and October in the amount of 1/4 (one quarter) of the amount of the annual contribution.

In cases where a member became a member of the Union during the quarter, such member pays the first payment in the amount proportional to the number of membership days for that quarter.

4.4.2. The amount of the annual membership fee is UAH 30,000.

4.4.3. Annual membership fees are considered paid from the moment of receipt of funds on the current account of the Union. In case of overdue payment of membership fees, a member of the Board of the Union has the right to decide on the requirement to pay this participant a penalty in double the discount rate of the NBU for each day of delay.

4.4.4. In case of non-payment of the annual membership fee within three months after the end of the calendar year, membership in the Union is lost without a decision of the General Meeting  or the Board of the Union and may be renewed under the Statute by re-joining the Union. terms of entrance and annual fees.

4.4.5. The general meeting may provide members of the Union with benefits for the payment of annual contributions, namely a reduction in the amount of annual contributions. The decision of the General Meeting to provide benefits in the payment of contributions is made on the basis of an application submitted by a member of the Union. The grounds for the decision of the General Meeting to provide benefits to the applicant, are:

  • significant professional achievements, in particular, the intellectual contribution of the participant to the cluster projects and the implementation of the Union Strategy;

  • difficult financial situation.

4.4.6. The Board of Directors of the Union controls the correctness and timeliness of payment of entrance and annual fees and provides the results of this control to the Board and the General Meeting.

4.4.7. At the request of the Director, the General Meeting of the Union may decide to provide benefits for the payment of membership fees to members of the Union who have previously provided significant material assistance to the Union. In this case, the participant does not require an application for benefits.

4.4.8. The legality of the use of funds received on the account of the Union from its members is verified by the Supervisory Board, which reports on the results of the audit to the General Meeting and the Board.

4.5. Trust funds. 

4.5.1. The Union may establish trust funds for the needs of its activities, as well as a Reserve Fund for the accumulation of resources in the event of liquidation or reorganization or other legal actions in relation to the Union.

4.5.2. The funds of the Reserve Fund must be placed on a bank deposit in the manner and manner approved by the Board of the Union at the request of the Director. The decision to use the Reserve Fund is made by the General Meeting.

4.6. Charitable and targeted contributions.

4.6.1. Members of the Union have the right to transfer to the Union in any reporting period and in any amount charitable membership fees (above the established amount of membership fees) to achieve the statutory goals and objectives of the Union and make targeted membership fees for projects_cc781905-5cde-3194-bb3b- 136bad5cf58d_ and programs within the statutory activities of the Union.

4.6.2. When paying charitable or targeted membership fees, the Union members are obliged to indicate the type of payment in the payment documents, namely: charitable membership fee or target membership fee for the project / program / event, the name of which is reflected in the payment.

 

 

Article 5. Ethical principles of professional conduct of members of the Union

This section establishes ethical standards for the activities of the members of the Union, in order to prevent and prevent conflicts, as well as to ensure public confidence in their honesty, openness and professionalism.

5.1. Internal relations of members of the Union. Members of the Union:

5.1.1 adhere to the principles of fair competition and conduct their activities in such a way as to avoid professional conflicts with other members of the Union and market participants;

5.1.2 do not seek unfair advantages over other members;

5.1.2 in case of emergencies that have happened to one of the members of the Union, provide the injured party with all possible assistance, both material and moral;

5.1.3 undertake to keep confidential confidential information known to them if the disclosure of such information could cause financial or moral damage to a member of the Union or the Union;

5.1.4 provide only reliable information within the Union; in case of impossibility to provide reliable information, the information is not provided;

5.1.5 adhere to professional ethics in hiring staff:

- do not motivate the specialists of the companies that are members of the Union to transfer to their company without prior notice of the founders or managers of the company in which this specialist works;

- do not  involve employees of other members of the Union without the consent of these members, promote conditions of fair competition among members of the Union, in particular, adhere to the average salary of members of the Union;

- in case of consent of a member of the Union to involve its employees in the activities of other members of the Union, the member who engages these employees, pays compensation to the other party in the amount agreed by the parties;

- do not encourage new employees from among former employees of other participants to disclose commercial information about the activities of the company in which he worked.

5.1.6 show respect for the staff of enterprises - members of the cluster (including their own enterprise and cluster organization), regardless of position, avoid discrimination against employees on any grounds, and avoid pressure on employees;

5.1.7 support corporate solidarity: criticize the members of the Union, their actions and the results of their activities only within the Union; Conflict or dispute   are submitted for joint discussion (working meeting of participants, Board meetings, General Meeting of the Union), and only after completion within the Union become public. A member of the Union expresses his personal opinion on any topic publicly without reference to the Union.

5.2. Relationships with the external environment. Members of the Union:

5.2.1 take part in the formation and maintenance of a positive image of other members of the Union and the Union as a whole, the industry and sectors of the Union, the development of the industry and the promotion of relevant professions, in particular:

  • do not take actions that may damage the professional reputation of colleagues in the Union or the Union itself;

  • contribute to the formation of positive public opinion about enterprises and organizations - members of the Union and the Union as a whole as a branch organization;

5.2.2 maintain honest relationships with customers:

  • constantly improve the quality of products and customer service;

  • adhere to honesty in describing the consumer qualities of goods and services, provide truthful and objective information in advertising campaigns, catalogs and other forms of public information, which is not contrary to the interests of other members of the Union;

  • intentional or unintentional misleading of customers about the consumer properties of the product is not allowed;

  • in case of financial difficulties fulfill financial obligations first of all to clients, appreciating business relations;

5.2.3 make efforts to eliminate in society any actions or omissions that may harm people and discredit, as a result, other members, the Union as a whole and the profession;

5.2.4 provide reliable information to the external environment: each member of the Union must not knowingly or unknowingly make biased statements or mislead other market participants about competitors, their affairs or business practices;

5.2.5 strive for the production of environmentally friendly products, participate in environmental actions organized by the Union;

5.2.6 provide charitable assistance to the needy and, if possible, support to charitable actions of colleagues and the Union as a cluster organization.

5.3. Implementation of ethical principles of professional conduct of members of the Union and responsibility for their violation.

5.3.1. If a member of the Union violates the principles set forth in section 5 of this Regulation, the Union has the right to require the violator to explain the situation at a meeting of the Board and bring the matter to the General Meeting of the Union. The Union has the right to inform the violator of its conviction of the violation with the subsequent application of sanctions until his expulsion from the Union.

5.3.2. In case the client complains about the dishonest behavior of a member of the Union to the Directorate or other governing bodies of the Union, the client is guaranteed to receive prompt and objective response from the Union to the unethical behavior of this member.

5.3.3. The members of the Union promote the above-mentioned ethical norms in the professional environment and the business community as a whole.

 

Article 6. Termination of membership in the Union

6.1. Membership in the Union is terminated in the following cases:

  • voluntary early termination of membership in the Union;

  • expulsion from the Union;

  • automatic termination of membership in the Union.

6.2. Voluntary early termination of membership in the Union is carried out by submitting a written application to the Board of the Union. Membership in the Union is terminated from the date of submission of such application and does not require additional decisions. The date of termination of membership is the date of receipt of the written application. This procedure is the same for legal entities and individuals - members of the Union.

In case of voluntary termination of membership in the Union, a person has the right to rejoin the Union.

6.3. Exclusion from the Union.

6.3.1. Exclusion from the Union may be made by a decision of the Board at the request of the Directorate in the following cases:

  • committing actions or omissions that are incompatible with the goals and objectives of the Union.

  • non-participation in the activities of the Union for at least 12 months;

  • non-fulfillment of statutory obligations, including violation of the provisions of the Statute of the Union, non-fulfillment of decisions of the General Meeting, this provision and other internal regulations of the Union;

  • non-observance by members of the Union in their activities of generally accepted principles of ethics;

  • committing acts that cause property or non-property damage to the Union, in particular, dissemination of information that is untrue or false and harms the interests, honor, dignity or business reputation of the Union;

  • systematic non-payment of membership fees;

  • conspiracy, between several members of the Union for action to achieve a criminal goal or in other personal interests.

6.3.2. The decision to expel a member from the Union on the basis of is made by a simple majority of votes of the total number of members of the Board.

6.3.3 The right to decide on the expulsion of a member from the Union may be exercised by the General Meeting on the basis of Art. 5.4 of the Statute of the Union.

6.4. Automatic termination of membership in the Union. Membership in the Union is automatically terminated in the case of:

  • liquidation of a legal entity - a member of the Union;

  • death of a natural person - a member of the union, entry into force of court decisions declaring a person dead, missing or incapacitated, or the establishment of other restrictions on the exercise of the right to participate in public organizations.

In case of termination of membership in the Union (voluntary or automatic), expulsion of a member from the Union, the Board ensures timely changes in the register of members.

 

Article 7. Final provisions

7.1. This Regulation shall enter into force on the day of its approval by the General Meeting.

7.2. Changes and additions to this Regulation may be made only by decision of the General Meeting.

7.3. All issues related to membership in the Union, which are not regulated by the current Regulations, are regulated by current legislation of Ukraine, other applicable regulations of public administration, the Statute, other internal regulations of the Union and decisions of the General Meeting.
